Terms of Service

These Terms of Service (“Terms”) are an agreement between you and JW Innovative Solutions LLC (“we,” “us”), the operator of The Ultimate Bill Organizer™ and the Orion platform (the “Service”). By creating an account, subscribing, or otherwise using the Service, you agree to these Terms.

If you do not agree, do not create an account and stop using the Service.

Orion Grant is the name of the AI assistant built into the Service. Orion Grant is software, not a human advisor, and is not a licensed professional of any kind.

• You must be at least 18 years old and able to form a binding contract.
• You must not be barred from using the Service under the laws of your country or state.
• If you use the Service on behalf of a business you own or manage, you confirm you are authorized to enter these Terms for that business.

You create an account with an email address and password, or by signing in with Google. Accounts are personal to you — the Service is designed around a single owner’s financial picture, including any businesses that owner tracks inside Orion.

• Provide accurate registration information and keep it current.
• One person per account; do not share logins with others.
• You are responsible for everything that happens under your account.

Orion stores highly sensitive financial information. You are responsible for protecting your credentials and the devices you sign in from.

• Use a strong, unique password and keep your email account secure, since email can be used to reset access.
• Sign out of shared or public devices.
• Tell us immediately at security@ultimatebillorganizer.com if you believe your account has been accessed without your permission.

We can suspend or reset access to an account when we reasonably believe doing so protects you or the platform.

Paid access to Orion is sold as a recurring subscription. The features included in each plan are described on our pricing page at the time you subscribe, and may change as the product develops. We will not remove a materially significant feature from a paid plan without notifying subscribers.

Orion is an actively developed product. Some capabilities are released progressively and may be labeled early access, beta, or preview. Those capabilities are provided as-is and may change or be withdrawn.

Subscription payments are processed by our third-party payment processor. We do not receive or store your full card number; the processor handles card data and we retain only the subscription status and non-sensitive billing details we need to run your account.

• Prices are shown in U.S. dollars and exclude any taxes that may apply to you.
• You authorize us and our payment processor to charge your payment method on each renewal date until you cancel.
• If a payment fails, we may retry the charge and may suspend paid features until payment succeeds.

Founding Member pricing is a discounted introductory rate offered to early subscribers. Your Founding Member rate stays locked for as long as your subscription remains continuously active and in good standing.

• If you cancel, let the subscription lapse for non-payment, or your account is terminated, the Founding Member rate may no longer be available when you return.
• Retail pricing for new customers may increase at any time.
• Founding Member status is tied to your account and is not transferable or resellable.

Subscriptions renew automatically at the end of each billing period (monthly or annual, depending on the plan you chose) at the then-current rate for your plan, including any locked Founding Member rate. Renewal continues until you cancel.

You may cancel at any time from your account settings or by emailing support@ultimatebillorganizer.com. Cancellation stops future renewals. Paid access continues until the end of the billing period you already paid for.

After a subscription ends, your data remains in your account for a limited period so you can return or export it, and is deleted when you delete your account or after the retention period described in the Privacy Policy.

Payments are generally non-refundable, including partial billing periods. We will review refund requests made within 7 days of a charge, and we honor refund rights that your local law requires regardless of this policy.

Refund requests go to support@ultimatebillorganizer.com with the email address on the account.

You agree not to:

• Upload documents or financial information belonging to someone else without their permission.
• Use the Service to commit fraud, launder money, evade taxes, or prepare false statements to lenders, creditors, or government agencies.
• Submit disputes, letters, or claims you know to be inaccurate.
• Attempt to access another user’s data, bypass authentication or role checks, or probe the platform’s security without written permission (see the Security page for responsible disclosure).
• Scrape, resell, or redistribute the Service, or use it to build a competing product.
• Upload malware or content that is unlawful, infringing, or abusive.
• Overload the platform with automated requests.

“User Content” means everything you put into Orion: uploaded documents, bills, balances, APRs, income, transactions, business records, credit information, goals, notes, and your conversations with Orion Grant.

You keep ownership of your User Content. You grant us a limited license to store, process, transmit, and display it solely to operate the Service for you — for example, to extract fields from a statement you upload, calculate a payoff plan, or answer a question in chat. We do not sell your User Content and we do not use your financial data to train third-party AI models.

Uploaded documents

Statements, bills, receipts, and credit reports you upload are stored in private storage tied to your account and are read by the AI extraction pipeline when you ask Orion to process them.

Financial and business data

Bills, payments, income sources, goals, emergency funds, tax categories, and business records are stored under your user account and are used to power Mission Control, the Financial Planner, the Debt Elimination Center, and related tools.

Credit reports

If you upload a credit report, Orion extracts account-level details to calculate utilization and suggest actions. Orion is not a consumer reporting agency and does not pull your credit, furnish data to bureaus, or contact bureaus or creditors for you. Any dispute letter Orion drafts must be reviewed, approved, and sent by you.

You are responsible for the accuracy of what you enter or upload. Orion’s output is only as good as the data behind it.

Orion uses AI models to read documents, summarize your finances, score financial health, generate plans, draft letters, and answer questions in chat. AI output is informational and educational. It can be incomplete, out of date, or simply wrong.

• Review every AI-generated number, plan, categorization, and letter before you rely on it.
• Traffic Light signals, health scores, forecasts, and payoff projections are estimates based on the data in your account, not guarantees.
• You make the final decision and you are responsible for the outcome.

We do not promise that using Orion will eliminate your debt, raise your credit score, lower your interest rates, get you approved for a loan or mortgage, reduce your taxes, or improve your finances in any measurable way. Results depend on your circumstances, your creditors, and the actions you take.

• Orion is not a certified public accountant and no CPA relationship is created by using it.
• Orion is not a law firm or attorney and no attorney–client relationship is created.
• Orion is not a registered investment adviser, broker, or financial planner, and no fiduciary or advisory relationship is created.
• Orion is not a lender, loan broker, credit repair organization, or debt settlement company, and does not lend money, negotiate with creditors, or repair credit on your behalf.

Consult a qualified professional before making significant financial, tax, or legal decisions.

The Service — including the Orion platform, its interfaces, scoring methods, prompts, documentation, branding, and the names The Ultimate Bill Organizer™, Orion, Orion Grant, Mission Control, Financial Traffic Light, and related marks — belongs to JW Innovative Solutions LLC and is protected by intellectual property law. Nothing in these Terms transfers ownership of the Service to you.

Subject to these Terms and your payment of any applicable fees, we grant you a personal, non-exclusive, non-transferable, revocable license to access and use the Service for your own household and business finances. You may export and use your own data and Orion’s output for your own purposes; you may not resell it as a service to others.

You may stop using the Service and delete your account at any time. We may suspend or terminate an account that violates these Terms, creates legal risk, or is used to harm the platform or other users. Where practical we will give notice and an opportunity to fix the problem.

On termination your license ends immediately. Sections that by their nature should survive — ownership, disclaimers, liability limits, and indemnification — survive.

The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI output, extracted document fields, or calculations will be accurate or complete.

To the maximum extent permitted by law, JW Innovative Solutions LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost savings, missed payments, penalties, fees, credit impacts, or lost data arising from your use of the Service.

Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the event giving rise to the claim.

Some jurisdictions do not allow these limits, in which case they apply to the fullest extent permitted.

You agree to defend, indemnify, and hold harmless JW Innovative Solutions LLC and its officers, employees, and contractors from claims, losses, and expenses (including reasonable legal fees) arising from your User Content, your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

We may update these Terms as the product changes. The version number, effective date, and last-updated date at the top of this page always reflect the current version, and previous versions are listed in the version history. For material changes we will notify subscribers by email or in-app notice before the change takes effect. Continuing to use the Service after the effective date means you accept the updated Terms.

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-laws rules. Disputes will be brought in the state or federal courts located in Texas, unless your local consumer law gives you the right to bring a claim where you live.
